Terms of Service.

Rive Network (“Rive,” “we,” “us,” or “our”) operates a private, invite-only dating network that provides curated introductions between members. Rive Network is operated by Touloun Enterprises LLC, a Delaware limited liability company. By accessing or using Rive, including our website at joinrive.com (“Site”) and our services (“Services”), you agree to these Terms of Service (“Terms”).

If you do not agree to these Terms, do not use our Services.

To apply for membership, you must:

• Be at least 18 years of age
• Be legally able to enter into binding contracts
• Not be prohibited from using our Services under applicable law
• Not have been previously removed from Rive for violation of these Terms
• Provide accurate, current, and complete information in your application

We reserve the sole right to accept or decline any application for membership.

Application. Applying for Rive does not guarantee acceptance. Each application is reviewed by our team. If you are accepted, you will be invited to complete onboarding.

Onboarding. To activate membership, accepted applicants must complete a questionnaire, set up their profile, complete payment, and verify their identity through our third-party identity verification provider.

Membership. Members receive up to two curated introductions per month, delivered by email. Introductions are made by our team based on member profiles, preferences, and other factors. We make no guarantee of compatibility, chemistry, or relationship outcomes.

Fees. Membership is billed monthly at the published rate. You authorize us and our payment processor to charge your payment method on a recurring basis until you cancel. Prices may change with notice.

Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is also subject to Paddle’s Buyer Terms, which govern payment, billing, tax, cancellation, and refund mechanics.

Extension policy. If we do not send you an introduction in a given billing cycle, your membership will be extended by one billing cycle at no additional cost.

You are solely responsible for your own conduct and safety when using Rive and when interacting with any person you meet through our Services.

By using Rive, you agree to:

• Provide accurate information in your application and profile
• Treat other members with respect, honesty, and discretion
• Keep introductions and shared contact information confidential
• Not use Rive for any unlawful purpose
• Not harass, threaten, intimidate, or harm any other member
• Not solicit money, business opportunities, or services from other members
• Not impersonate any person or misrepresent your identity, age, or marital status
• Not share another member’s photos, contact information, or personal details with third parties
• Not attempt to contact another member outside of our introduction process without mutual consent
• Exercise your own judgment and caution when meeting any member in person
• Take personal responsibility for your own safety, including meeting in public places and informing others of your plans

Violation of these conduct standards may result in immediate termination of your membership without refund.

You acknowledge and agree that Rive does not control, cannot verify, and is not responsible for the actions, statements, conduct, or behavior of any member, whether online or offline. You interact with other members at your own risk.

You retain ownership of the photos, text, and information you submit to Rive (“Your Content”).

You grant Rive a limited, non-exclusive, royalty-free, worldwide license to use Your Content for the purpose of operating our Services — including displaying your profile to matched members, reviewing applications, and curating introductions.

You represent and warrant that:

• You have the right to submit Your Content
• Your Content is accurate and not misleading
• Your Content does not infringe on the rights of any third party
• Your Content does not contain illegal, defamatory, or harmful material

Rive may remove or modify any content that violates these Terms at our sole discretion.

All members must complete identity verification before joining the network. This is conducted by a third-party verification provider (Stripe Identity). We do not store copies of your government-issued identification. Verification results (pass/fail) are retained by Rive.

By completing identity verification, you consent to the collection and processing of biometric data (including a facial image) by our verification provider for the sole purpose of confirming your identity.

Identity verification confirms identity only. It does not include criminal background checks, employment verification, relationship status verification, or any other form of screening. Rive makes no representation that any member is safe, trustworthy, or suitable to meet in person.

How introductions work. Our team selects potential matches based on member information. When an introduction is sent, both members receive an email with a brief note and can indicate interest through the Rive platform.

Mutual interest. If both members indicate interest, contact information is shared. Any communication, meeting, or relationship that follows is entirely between the two members — Rive has no ongoing involvement, control, or responsibility.

No guarantee.We do not guarantee compatibility, chemistry, romantic interest, successful meetings, or any specific outcome from introductions. Introductions are based solely on our team’s judgment and information provided by members, which we cannot independently verify beyond identity.

Payment. Membership fees are billed monthly in advance. Payments are processed by our Merchant of Record, Paddle.com, who handles billing, tax, and invoicing.

Cancellation. You may cancel your membership at any time from your member dashboard or by contacting us. Upon cancellation, your membership will remain active through the end of the current billing cycle, after which it will not renew.

Refunds. We offer a 30-day money-back guarantee on your initial membership purchase. Refund requests are handled directly by our Merchant of Record, Paddle. To request a refund, visit paddle.net or contact us at hello@joinrive.com.

Price changes.We may change membership pricing with at least 30 days’ notice. Price changes will not affect your current billing cycle.

Your privacy matters to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You may not use Rive to:

• Solicit, engage in, or facilitate commercial transactions with other members
• Promote any commercial product, service, or cause
• Gather information about other members for any purpose outside of Rive introductions
• Attempt to access areas of the Service you are not authorized to access
• Interfere with or disrupt the operation of Rive
• Upload viruses, malware, or other malicious code
• Use automated tools, bots, or scrapers
• Reverse engineer or copy any part of our Services

By you. You may terminate your membership at any time by following the cancellation process in your dashboard.

By us. We may suspend or terminate your membership at any time, with or without notice or refund, if:

• You violate these Terms
• You are reported for misconduct by another member and we determine the report is credible
• Your application contained false information
• Payment for your membership cannot be processed
• We decide, in our sole discretion, that continued membership is not consistent with the standards of our community

Effect of termination. Upon termination, your profile will be deactivated. You will no longer receive introductions. Your data will be handled according to our Privacy Policy.

SERVICES PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by applicable law, Rive is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, or availability.

No guarantee of results. We do not warrant or guarantee that:

• You will receive any specific number of introductions
• Introductions will result in meetings, relationships, or successful connections
• Members you meet will be compatible, truthful, or suitable
• Any information provided by members is accurate or complete
• The Service will be uninterrupted, error-free, or secure

Member responsibility. Rive facilitates introductions only. We do not control, monitor, endorse, or take responsibility for the actions, statements, conduct, character, or behavior of members — whether on our platform, through communication enabled by our introductions, or in person.

No background checks. While we verify member identity, we do not conduct criminal background checks, credit checks, reference checks, or other screening. We cannot and do not guarantee the truthfulness, character, intentions, or safety of any member.

Your safety is your responsibility. You are solely responsible for your own safety and well-being when interacting with any person through Rive.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Rive, its owner, employees, contractors, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to your use of Rive, including but not limited to damages for loss of profits, goodwill, use, data, emotional distress, or other intangible losses
• Rive shall not be liable for any damages, injuries, losses, or harm caused by the actions or omissions of any member, including but not limited to physical harm, emotional harm, financial loss, harassment, stalking, fraud, or any criminal act
• Rive shall not be liable for any interactions, meetings, communications, or relationships between members, whether facilitated by our introductions or not
• Rive’s total aggregate liability for any and all claims arising out of these Terms or your use of Rive is limited to the amount you paid us in the three (3) months immediately prior to the event giving rise to the claim, or $100, whichever is greater

This limitation applies regardless of the legal theory on which a claim is based, including contract, tort, negligence, strict liability, or otherwise, and even if Rive has been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

You acknowledge and agree that meeting people through a dating service involves inherent risks, including but not limited to the risks of interacting with strangers, the possibility of misrepresentation, emotional harm, and physical danger.

You voluntarily assume all such risks and agree that Rive is not responsible for any harm, loss, or damage you may experience as a result of your use of our Services or your interactions with other members.

You agree to indemnify, defend, and hold harmless Rive, its owner, employees, contractors, service providers, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of Rive
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Any content you submit to Rive
• Your interactions with any other member
• Any claim that your conduct caused damage to a third party

Informal resolution. Before filing any formal claim, you agree to contact us at hello@joinrive.com and attempt to resolve the dispute informally for at least 30 days.

Binding arbitration. Any dispute, claim, or controversy arising out of or related to these Terms or your use of Rive that cannot be resolved informally shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

No class actions. You agree to bring claims only in your individual capacity, and not as a plaintiff or class member in any class, collective, or representative action.

Exceptions. Either party may:

• Bring claims in small claims court if eligible
• Seek injunctive or equitable relief in court for intellectual property disputes
• Pursue claims that cannot by law be subject to arbitration

Governing law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Jury trial waiver. To the extent permitted by law, you waive any right to a trial by jury.

We may update these Terms from time to time. When we do, we will:

• Update the “Effective date” at the top
• Notify members by email when changes are material
• Post the revised Terms on our Site

Continued use of Rive after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using Rive.

Rive Network is operated by Touloun Enterprises LLC, a Delaware limited liability company. References to “Rive,” “we,” “us,” or “our” in these Terms refer to Touloun Enterprises LLC.

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rive regarding your use of our Services.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment. You may not assign or transfer these Terms or your membership without our written consent. We may assign these Terms without your consent, including to a successor entity.

Force majeure. Rive is not liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, acts of government, pandemics, or service provider failures.

Headings. Section headings are for convenience only and do not affect interpretation.
